1. Scope of Services

Awaken Labs LLC may provide:

• Content creation, ghostwriting, editing, brand building, strategy, and advisory services.
• Digital products, templates, downloads, subscriptions, or educational materials.
• Software tools, analytics, dashboards, or online utilities.
• E-commerce products, physical goods, or merchandise.
• Communities, memberships, events, or programs.
• Any new services or products released in the future.

All offerings are provided on an "as is" and "as available" basis. Awaken Labs may change or discontinue services at any time.

2. Eligibility

The site and services are intended for individuals 18 years or older. Use of the site by persons under 13 is strictly prohibited.

3. User Responsibilities

You agree that you will not:

• Use the services for unlawful purposes.
• Attempt to disrupt the site or related systems.
• Misrepresent your identity.
• Submit content that violates intellectual property or other rights.

You are responsible for the accuracy and legality of the information you provide.

4. Confidentiality and Data Security

Do not share confidential, sensitive, or proprietary information with Awaken Labs. This includes financial records, customer lists, trade secrets, protected health information, regulated data, or any information that requires heightened security or compliance standards.

Awaken Labs will make reasonable efforts to maintain confidentiality for materials provided by clients, but no guarantees are made regarding data security, storage, or transmission. Awaken Labs does not maintain enterprise-grade security systems.

All digital storage, email communication, file exchange, and documentation occur through Google Workspace, Gmail, and Google Drive. Any security protections are limited to the standard protections provided by those services. Awaken Labs makes no additional claims or warranties about data security beyond what those third-party providers supply.

If you choose to share sensitive information despite this policy, you do so at your own risk.

5. Intellectual Property

All content produced by Awaken Labs remains its intellectual property unless rights are transferred in writing. This includes drafts, documents, templates, strategies, and digital assets.

Custom content created under a paid ghostwriting or content creation service transfers to the client upon full payment unless specified otherwise.

No content from the site may be copied or redistributed without permission.

6. Payment and Refund Policy

Payments must be made through approved payment processors.

Awaken Labs operates on a month-to-month subscription model.

• No refunds are provided after the first 7 days of initial signup.
• If canceled within the first 7 days, a 75 percent refund will be issued.
• Cancel anytime to stop future billing.
• Refunds do not apply to renewals or previous billing periods.

Pricing may be updated at any time.

7. Subscription Services

Subscription users understand that:

• Billing recurs automatically.
• Service limits and turnaround times apply as defined in the plan.
• Abuse or unreasonable use may result in suspension.
• Awaken Labs may modify subscription features at any time.

8. Advertising, Tracking, and Email Marketing

Awaken Labs may use the following:

• Google Ads, Meta Ads, LinkedIn Ads, and other ad networks
• Retargeting systems and behavioral advertising
• Analytics tools, cookies, browser storage, and tracking pixels
• Email marketing platforms for newsletters and promotional communication

By using the site, you consent to these tracking methods.

9. Cookies and Pixels

Awaken Labs uses cookies and pixels to improve site functionality, measure performance, personalize experience, and enable advertising and retargeting.

Users may disable cookies through browser settings, though functionality may be limited.

10. Third-Party Services

Awaken Labs may use or link to third-party tools, sites, or platforms. These providers operate independently. Awaken Labs is not responsible for their content, policies, or practices.

Your use of those third-party platforms is at your own risk.

11. Client-Provided Materials

When providing materials to Awaken Labs, you affirm that:

• You own or have rights to them.
• They do not violate the rights of any party.
• They do not contain sensitive, confidential, or regulated data.
• They do not contain harmful or unlawful content.

You grant Awaken Labs a limited license to use these materials only to perform agreed services.

12. No Guarantee of Results

Awaken Labs does not guarantee specific results, performance increases, financial outcomes, or growth metrics.

Strategy, content, and advisory services are informational and creative in nature. You assume full responsibility for decisions made from them.

13. Disclaimers

All services are provided on an "as is" basis without warranty. Awaken Labs does not guarantee:

• Continuous access
• Error-free performance
• Accuracy of information
• Security beyond standard third-party protections

Awaken Labs is not responsible for technical failures, delays, data loss, or service interruptions.

14. Limitation of Liability

To the fullest extent permitted by law, Awaken Labs LLC and its owners, employees, contractors, and affiliates are not liable for:

• Loss of data or confidentiality
• Loss of revenue or profits
• Business interruptions
• Reputational damage
• Errors in content or services
• Indirect, incidental, or consequential damages

If liability cannot be excluded, it is limited to the amount paid for the specific service that caused the claim.

15. Indemnification

You agree to indemnify Awaken Labs for claims or damages arising from:

• Your use of the services
• Your content or submissions
• Your breach of these Terms
• Your violation of any third-party rights

16. Data Processing Addendum for EU and UK Users

If you are located in the EU or UK, or if you process personal data of residents in these regions through Awaken Labs services, a Data Processing Addendum may apply. You may request the DPA by contacting gabe@awakenlabs.io.

The DPA outlines how data is handled under GDPR and UK GDPR standards.

17. Termination

Awaken Labs may suspend or terminate access for misuse, non-payment, or breach of these Terms.

Users may cancel subscriptions at any time. Refunds follow the refund rules provided above.

18. Governing Law

These Terms are governed by the laws of the State of Arizona. Any disputes will be handled exclusively in Arizona courts.

19. Changes to These Terms

Awaken Labs may update these Terms at any time. Continued use of the site constitutes acceptance of any changes.
